BROADWAY FANS INVITE-A-FRIEND SWEEPSTAKES

RULES AND REGULATIONS*

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED BY LAW.

The League of American Theatres and Producers, Inc. (“the Company”) is conducting the Sweepstakes Promotion (Sweepstakes), substantially as described in these rules, and by entering, each participant agrees as follows:

1. DESCRIPTION OF PARTICIPATION

The Sweepstakes will begin at 12:01 AM (E.S.T.) on August 10, 2006, and ends at 11:59 PM (E.S.T.) January 31, 2007.

HOW TO ENTER: Enter by referring friends to join The Broadway Fan Club by visiting:

Enter the e-mail addresses of friends you wish to refer to the Fan Club, separated by commas, as well as the e-mail address at which you receive Broadway Fan Club communications, then press the SUBMIT button.

2. PRIZE

Three winners will receive one Live Broadway Visa Gift Card (Value $225) each good for a Broadway show of choice. Total value of each prize is $225.00. Prize has no cash value. If a winner is disqualified, Company reserves the right to determine an alternate winner or not to award that winner's prize, in its sole discretion. Company reserves the right to substitute alternative prize of equivalent value if any portion of the prize becomes unavailable.

3. ELIGIBILITY AND LIMITATIONS

Participants and winner must be at least 18 years old and must be members of the Broadway Fan Club. Limit one Broadway Fan Club membership per person. Individuals who use the Invite-a-Friend webpage to enroll themselves in the Broadway Fan Club multiple times using different email addresses will be disqualified. The authorized email account subscriber is deemed to be the natural person who is assigned an email address by an Internet-access provider, an online-service provider or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Employees of Company and members of the immediate family of any such persons are not eligible to participate and win. The term "immediate family" includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as "in-laws," or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residing at the same household whether or not related.

4. WINNER SELECTION, NOTIFICATION, AND WINNER LIST

The three entrants who have referred the most friends between the stated dates will be deemed the winners. Winners must refer at least ten (10) friends in order to be eligible. Referred friends must be active Fan Club members at the close of the Sweepstakes. Winners will be notified on or about February 1, 2007. The winners will be notified by the email address through which they are subscribed to the Broadway Fan Club. Winners may waive their right to receive the prize. In the event of such waiver or disqualification of an entrant, such entrant will not be entitled to his or her prize. In such event, Company shall have the right to draw or select another entrant as described in these Rules until a winner has been determined and qualified. 5. DISCLAIMER

Company disclaims all liability for the inability of a participant to complete any information or to deliver the information due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond Company's control, or otherwise. Company disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method.

6. PUBLICITY

By participating, all participants and winners grant Company exclusive permission to use their names, characters, photographs, voices, and likenesses in connection with this Sweepstakes and waive any claims to royalty, right, or remuneration for such use.

7. GENERAL RELEASE

By entering the Sweepstakes entrants release Company, and Sponsors, and each of their respective affiliated companies, directors, officers, employees, representatives, partners and agents from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Sweepstakes or with the acceptance, possession or use of any prize (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). COMPANY RESERVES THE RIGHT TO CANCEL THE SWEEPSTAKES AT ANY TIME IF THE WEBSITE IS INFECTED BY A VIRUS, THE WEBSITE IS HACKED OR THE INTEGRITY OF THE SWEEPSTAKES IS COMPROMISED IN ANY WAY.

8. TAXES

Any valuation of the prize(s) stated above is based on available information provided to Company, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The winner is solely responsible for reporting and paying any and all applicable taxes.

9. DECISIONS

Company reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the promotion, or obtained winner status using fraudulent means. Return of prize notification as undeliverable may result in disqualification and the selection of an alternate winner. If the prize is not claimed within 10 days of winner's receipt of notice it may be awarded to an alternate winner. Further, Company will resolve any disputes or ambiguities concerning the rule and Company's decisions concerning such disputes shall be final. All decisions will be made by Company and are final. Company reserves the right in its sole discretion to suspend, modify, or terminate the promotion. Should the promotion be terminated prior to the stated expiration date, Company reserves the right to award the prize based on the entries received before the termination date.

10. MISCELLANEOUS

The winner must submit proof of eligibility. Odds of winning depend upon the number of valid entries received. Company disclaims any responsibility to notify participants of any aspect related to the Sweepstakes. Written copies of these rules are available during normal business hours at the business offices of Company and by mail upon written request with a stamped, self-addressed return envelope.

11. COMPLIANCE WITH LAW AND DISPUTE RESOLUTION

The conduct of this Sweepstakes is governed by the laws of the United States of America, which take precedence over any rule to the contrary herein. As a condition to participating in this Sweepstakes, each entrant agrees that any and all disputes that cannot be resolved between the parties, and all causes of action arising out of or in connection with this Sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in the State of New York having competent jurisdiction, which court shall apply the laws of the State of New York, without regard to the conflicts of laws principles thereof. By entering the Sweepstakes both parties hereby waive any and all right to trial by jury. Company shall follow the applicable laws for conducting Sweepstakes, including notice to the state attorney general or consumer affairs office, posting of a prize bond, furnishing lists of winners, running specific on-air disclaimers, providing specific written information about the Sweepstakes, etc. as required by applicable law.
